Terms of use

Please read these terms before accepting them. Tally2AI is a free, independent Windows integration that connects supported Tally data operations to applications through REST and MCP. It is an early release with documented coverage limits. It is not an accounting, tax, legal or security assurance service.

1. Your agreement and permission to use

These terms are between you and Infisto Technologies LLP ("Infisto", "we", "us"). Accept only if you can enter into a binding agreement and, when acting for a business, have authority to bind that business. If you do not agree, do not use the program. You may cancel setup or uninstall it. Acceptance of these terms does not require enabling optional usage reporting.

Subject to these terms, Infisto grants you a non-exclusive, worldwide, royalty-free permission to install and use the released program for lawful personal or internal business purposes. You may share unmodified official installers with these terms and notices intact. This permission does not transfer ownership, grant rights to our trademarks, or grant a licence to Tally or another provider's products. Third-party components retain their own licences, supplied with the program; these terms do not limit rights granted by those licences. Source-code rights are governed by any licence expressly supplied with that source, not by the program being free of charge.

Version 1.3.0 requires an eligible Tech Essentials membership at https://techessentials.in for protected app features, including REST and MCP data access. Free members qualify under the initial policy. Activate using your membership email and a sign-in code. The initial allowance is two computers with access lasting up to 24 hours after verification; eligibility, permitted tiers, device limits and offline duration can be changed by the publisher, subject to applicable law and any required notice. No charge is authorised by this clause. Availability depends on membership verification services and a compatible release. The membership requirement does not replace local company permissions or authorise accounting access by other members.

2. Your data, authorisations and responsibilities

You retain your rights in your data. Use the program only with systems and data you are authorised to access and disclose. You are responsible for the permissions you grant to connected apps, for protecting your computer and credentials, and for complying with applicable accounting, privacy, tax and other obligations. Do not use the program to gain unauthorised access, distribute malware, evade another party's access controls, or interfere with hosted services.

Keep independent, tested backups before allowing changes to accounting records. Begin with a test company or read-only access. Verify the exact company, entries, amounts, tax treatment and outcomes. Review changes before relying on them. An interrupted or uncertain request may already have changed data: inspect and reconcile its recorded outcome before retrying. A successful API response is not a professional certification that an entry, return, report or business process is correct.

3. Tally, AI applications and other third parties

Tally must be running with the appropriate company loaded for live operations. A separate valid Tally licence and configuration may be required. Tally2AI is independent of and is not endorsed by Tally Solutions. Tally and TallyPrime are their respective owners' trademarks.

When you approve an app or AI assistant to use REST or MCP, it can receive the accounting records allowed by its grant and may transmit them to its own cloud or model providers. Its privacy terms, retention, security and use of data apply separately. Infisto does not select or control those providers on your behalf. Review those terms and obtain any necessary permissions before connecting confidential or personal information.

AI systems can misunderstand instructions, produce incorrect or misleading output, follow malicious instructions embedded in data, or request harmful changes. Automated permissions are not a substitute for human review. Grant only necessary access and revoke it when no longer needed. The program does not promise to detect every dangerous request or provide an AI security guard.

Membership verification, sign-in email, hosted downloads, updates and optional analytics depend on third-party infrastructure described in the Privacy Policy, including Cloudflare, Ghost/Magic Pages and PostHog. Third-party products and services may change or become unavailable.

4. No warranty; availability and changes

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE PROGRAM, DOCUMENTATION, UPDATES AND HOSTED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPATIBILITY, UNINTERRUPTED AVAILABILITY OR FREEDOM FROM DEFECTS.

We do not guarantee support for every Tally edition, version, feature or statutory workflow; correct AI output; prevention of data loss; or uninterrupted updates, hosting or support. Free availability today is not a commitment to provide future features or hosting indefinitely. Any future paid service would require separately disclosed terms; these terms do not authorise an undisclosed charge.

We use technical safeguards described in the documentation and Privacy Policy, but no software, device or network can be guaranteed completely secure. Vulnerabilities, configuration mistakes, malicious software, compromised accounts and increasingly capable automated or AI-assisted attacks remain possible. A digital update signature checks publisher authority and integrity; it does not prove the software is defect-free or remove Windows antivirus warnings.

5. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, INFISTO AND ITS PARTNERS, OFFICERS, EMPLOYEES AND CONTRIBUTORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL LOSS, OR FOR LOST PROFITS, REVENUE, BUSINESS OPPORTUNITY, GOODWILL OR DATA, BUSINESS INTERRUPTION, OR COSTS OF RECONSTRUCTING RECORDS ARISING FROM THE PROGRAM OR RELATED SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING FROM THE PROGRAM AND RELATED SERVICES WILL NOT EXCEED THE GREATER OF INR 1,000 AND THE AMOUNT YOU PAID INFISTO FOR THE PROGRAM DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These exclusions and limits apply only where lawful. Nothing excludes or limits liability for fraud, wilful misconduct, death or personal injury caused by negligence where it cannot lawfully be excluded, or any other liability or statutory right that applicable law does not allow us to exclude or limit. Your non-waivable consumer, privacy and other legal rights remain intact. These terms do not promise that Infisto can never be sued or held responsible.

6. Privacy and optional reporting

Read the separate Privacy Policy for required membership verification and optional analytics, including what is shared with Cloudflare, Ghost/Magic Pages, PostHog and apps you approve. New installations of version 1.2.2 onward present usage reporting enabled by default, with an immediate option to turn it off before accepting setup. In version 1.3.0, enabled reporting after acceptance of the current disclosure can link your verified membership email to usage in PostHog. Existing saved disabled choices remain disabled. Reporting can be turned off in Settings > Privacy & analytics without losing REST, MCP or update access, subject to the separate membership requirement. Earlier releases may use a different default as explained in the policy. Acceptance of these terms is separate from that setting and does not waive privacy rights or establish that a default-enabled choice is lawful in every jurisdiction.

7. Ending use, updates to terms and remaining provisions

You may stop using and uninstall the program at any time. Uninstalling does not automatically erase your separate Tally data, backups, data already disclosed to an approved third party, or protected bridge state that the uninstaller retains. Follow the documentation or contact us for assistance. Infisto may withdraw permission for a material breach, subject to applicable law; this is not a promise that the local app contains a remote disable function.

Revised terms will have a new version and be made available before acceptance is requested for an affected release. A website edit does not retroactively record acceptance for an installed program. If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law. Nothing requires you to give up a legal remedy or mandatory rights in your jurisdiction. No third-party recommendation overrides these terms or the published coverage limits.
